Publication of a transparency notification

Kinepolis Group NV has received a transparency notification dated 12 April 2016, indicating that the companies BNP Paribas Asset Management, BNP Paribas Investment Partners Belgium NV, BNP Paribas Investment Partners UK Ltd, Camgestion and Theam, all controlled by BNP Paribas Investment Partners SA, now hold, by virtue of the transfer of shares on 7 April 2016, 4.99% of the voting rights (1,365,695 voting rights*) of the company. As such, they fall below the threshold of 5%.

BNP Investment Partners SA is being controlled by the parent company BNPP SA that is exempted from the obligation to consolidate its participations with those of its subsidiary investment companies, in accordance with Art. 21, 2nd paragraph of the Royal Decree of 14 February 2008 with regards to the disclosure of major holdings.

In Article 8 of the Articles of Association of Kinepolis Group NV, the notification tresholds were fixed at 3%, 5% and multiples of 5%.

(*) The notification dated 7 January 2014 resulted in a participation of 1,406,080 voting rights, taking into account the share split into five as from 1 July 2014.
