Private placement bonds 2019: Financial condition Step-down Change
We hereby inform you that the Consolidated Leverage Ratio for the Relevant Period ending 31 December 2022 is less than 4.00:1 and, as a consequence, a Financial Condition Step-Down Change has occurred. As a result, the Applicable Interest Rate shall be decreased by 0.50% per annum to 2.75% per annum with effect from and including the Interest Period commencing on 18 December 2023.

We hereby inform you that the Consolidated Leverage Ratio for the Relevant Period ending 31 December 2020 exceeds 4.00:1 and, as a consequence, a Financial Condition Step-Up Change has occurred. As a result, the Applicable Interest Rate shall be increased by 0.50% per annum to 3.25% per annum with effect from and including the Interest Period commencing on 18 December 2021.

Kinepolis Group announces the placement of bonds in denominations of EUR 100 000 and with terms of more than 7 years and/or 10 years. Any qualified investor or non-professional investor can sign in to this placement via a private banking network or via an intermediary person.*
KBC was appointed as coordinator of the transaction. KBC, ING, BNP Paribas Fortis and Belfius jointly offer this placement on the market.
The placement suits well into the conservative financial approach of Kinepolis Group, in order to finance its long term investments. The proceeds will be used for the refinancing of the existing loans, the long term financing of the acquisition in Spain earlier this year, further investments in new complexes in a few countries, the renovation of integrated complexes, investments in new concepts and take-overs.

Kinepolis Group has successfully concluded a private placement of bonds with institutional investors amounting to € 125 million, of which € 60 million were placed with a maturity of 8 years and € 65 million with a maturity of 10 years. The market demand was significantly higher than the targeted amount of € 125 million, which demonstrates once again the confidence of the market regarding the strategy pursued by Kinepolis.
Exhange offer on retail bonds 2015
On 12 May 2015 Kinepolis Group announced the launch of an unconditional public exchange offer on all outstanding € 75,000,000 fixed-rate bonds with a gross nominal interest rate of 4.75% and maturing on 6 March 2019.
The Dutch version of the prospectus has been approved in accordance with the Act of 1st April 2007 on public take-over bids. Investors can find the Dutch and French versions of the prospectus and the memorandum of reply of the Board of Directors of Kinepolis on the respective pages.
