Proposal for the appointment and reappointment of directors Kinepolis Group NV

At the Ordinary General Meeting of 13 May 2015, the Board of Directors of Kinepolis Group NV will nominate Mrs Annelies Van Zutphen and Mr Jo Van Biesbroeck as non-executive directors.

Mrs van Zutphen is a director and partner with The Boston Consulting Group, working at the Amsterdam office, where she manages the Retail Practice. She previously held various senior management positions at Maxeda, a Dutch retail company, and she was Associate Principal with McKinsey&Company, where she was also responsible for the consumer sector. At the date of this press release, her nomination is still subject to internal approval by the Executive Committee of her current employer.

As Chief Strategy Officer of AB InBev, Mr Van Biesbroeck is responsible for the strategic reflection of the AB InBev group, and as President Worldwide Export, he is ultimately responsible for the export activities in the group. All through his long management career at AB InBev, he occupied various senior management positions in Finance, M&A, Business Development, Sales and Operations, while as a member of the Takeover and Integration Team, he was actively involved in various takeovers.

The Board of Directors will also propose to reappoint Mrs Marion Debruyne and Mr Rafaël Decaluwe as non-executive directors.
The Board of Directors also wishes to thank Mr Marcus Van Heddeghem, now that his mandate has ended, for his highly valued and considerable contribution during the past 7 years on the Board of Directors and the Nomination and Remuneration Committee
