Modification in the composition of the Kinepolis Group Board of Directors

The Kinepolis Group Board of Directors nominates Professor Marion Debruyne and Mr Rafaël Decaluwé as independent directors. Hugo Vandamme steps down as director and the director's mandate of Mimi Lamote is not renewed. The appointments have to be confirmed by the General Meeting of Kinepolis Group on 15/05/09.   The proposed modifications in the composition of the Board of Directors are in line with the reorganisation n of the shareholding body (end of 2006) and constitute the final phase in the process of strengthening the Board of Directors by including professional and independent directors with substantial experience of business life. Previously, Marc Van Heddeghem (Managing Director Redevco Belgium) and Geert Vanderstappen (Managing Partner Pentahold) had already been brought in as part of this process. The new composition takes account of the need for diversity and complementary skills.   Baron Hugo Vandamme served as chairman of the Board of Directors until May 2008 and at the end of his term of office he agreed to remain for another year as an independent director in the interests of continuity. Now that the new composition of the Board of Directors has taken shape and the new management team has settled in, he is ending his directorship at Kinepolis as of 15/05/09 in order to devote his attention to his many other mandates in the worlds of business and culture.   Professor Dr. Marion Debruyne is an Associate Professor and Partner at the Marketing Skills Centre of the Vlerick Leuven Ghent Management School. She specialises in marketing strategy, innovation and competition.   Mr Rafaël Decaluwé is former CEO of Bekaert and has had a long management career in financial positions with a number of multinational companies including Samsonite, Fisher-Price and Black and Decker. He is also to be nominated as a member of the Audit Committee and the Appointment and Remuneration Committee of Kinepolis Group. Among his other positions, Mr Decaluwé is also Chairman of the Board of Directors of Jensen Group NV and an Independent Director of Esko Graphics NV.   The Board of Directors thanks Baron Hugo Vandamme and Mrs Mimi Lamote for their much appreciated contribution to the development of the Company.   New composition of the Kinepolis Group Board of Directors, subject to ratification at the Annual Meeting on 15 May 2009: -        Philip Ghekiere as Chairman -        Joost Bert as Managing Director -        Eddy Duquenne as Managing Director -        Marie-Suzanne Vereecke as Founding Director and Co-Chairman -        Marion Debruyne as Independent Director -        Marc Van Heddeghem as Independent Director -        Geert Vanderstappen as Independent Director -        Rafaël Decaluwé as Independent Director.
